Preliminary steps:
To register your company through the portal, you will need a verified account via MyPortal. To find out how to do this, please follow the article below:
Step 1: Checking availability and reserving the company name
The first step in registering your company is to check the availability and reserve the desired name for your business.
This is done by completing the name availability and reservation request form with 3 name options in your order of preference. The request can be filled out online directly on the ONRC platform.
A guide on how to reserve a name through the ONRC portal can be accessed below:
Step 2: Completing the registration application
After successfully reserving the name, the next step is to complete the actual registration application. This involves the following:
- Completing the registration application itself, using the form available on the platform.
- Completion of the annex regarding tax registration and, in the case of foreign investments, the specific annex for this situation.
- Completion of the standard declaration under one's own responsibility regarding the fulfillment of operating conditions for the registered office and/or secondary offices of the company.
These documents can be completed electronically using the smart forms provided by the ONRC platform. Make sure that the information provided is accurate and complete.
However, we recommend that you bring these documents "from home," as the articles of incorporation generated by the ONRC look something like this:
Templates for these documents can be found directly on the ONRC platform, so you can use them. the formsto draft a request that is easier to read and does not lead to unnecessary extensions of the registration deadline for companies.
Step 3: Uploading supporting documents
To successfully complete the registration process, you will need to upload a series of supporting documents to the platform. These include:
- Actual articles of incorporation of the company, which contain essential information about its structure and operation.
- Proof of the company name reservation obtained in the previous step.
- The document that certifies the right to use the space that will be used as the registered office. This document can be a lease agreement, a land registry extract, etc.
- The identity documents (ID/passport) of the founders, administrators, and (if applicable) the auditors of the company.
- The declaration regarding the ultimate beneficial owner of the company, indicating the individuals who ultimately control the company. (if not included in the articles of incorporation)
- If the space used as the registered office is part of a residential property, the approval of the homeowners' association will be required for changing the purpose of the space.
The requested documents must be uploaded to the platform in electronic format (PDF) and must be electronically signed. Please ensure that the documents are legible and complete.
To verify that they are correctly electronically signed, you can use official platform of the European Union in this regard:
For more details about the legal effect of electronic signatures, we invite you to read our comprehensive guide to qualified electronic signatures.
Step 4: Payment of applicable fees
Registering a company involves the payment of certain legal fees. The most important fee is for the publication of the registrar's decision in the Official Gazette of Romania, Part IV.
The payment of fees can be made electronically through the platform using a credit card. The ONRC also offers other payment methods, such as bank transfer or cash at the institution's counters.
The documents must still be signed electronically, but you can avoid the cumbersome "official" process.
Step 5: Submitting the application and monitoring the status
After you have completed the previous steps - filled out the applications, uploaded the necessary documents, and paid the applicable fees - your registration application is ready for submission. It will be generated and will need to be signed electronically.
PLEASE NOTE that the electronically signed application must be renamed to match the title of the original document, as the validation of document equivalence is done based on the name.
The application submission is done electronically, through the ONRC platform, with just a simple click.
Additionally, you can track the status of your application through the platform. You will be notified each time your application progresses in the approval process or if additional information or documents are required.
Important information to remember
- The registration application is processed by the ONRC registrar within one working day from its submission on the platform. However, due to the inefficiencies of the new platform, it is possible that this deadline may be exceeded.
- The registrar's decision approving the company's registration is published in the Electronic Bulletin of the Trade Register (BERC), which can be accessed free of charge on the ONRC website.
- The extract from the admission decision is published in the Official Gazette of Romania, Part IV.
- If you encounter difficulties in completing the registration steps, you can rely on the specialized support services provided by ONRC, available through dedicated departments.
- The entire registration process can be completed remotely, without the need for physical presence at the ONRC counters.
