The name of a limited liability company for beginners (SRL-D) must include the phrase "limited liability company for beginners" or the abbreviation "S.R.L. - D.". This form of organization is aimed at entrepreneurs who are just starting out.

  1. Completing the registration application itself, using the form available on the platform.
  2. Completion of the annex regarding tax registration and, in the case of foreign investments, the specific annex for this situation.
  3. Completion of the standard declaration under one's own responsibility regarding the fulfillment of operating conditions for the registered office and/or secondary offices of the company.

These documents can be completed electronically using the smart forms provided by the ONRC platform. Make sure that the information provided is accurate and complete.

Step 3: Uploading supporting documents

  • The document that certifies the right to use the space that will be used as the registered office. This document can be a lease agreement, a land registry extract, etc.
  • The identity documents (ID/passport) of the founders, administrators, and (if applicable) the auditors of the company.
  • The declaration regarding the ultimate beneficial owner of the company, indicating the individuals who ultimately control the company. (if not included in the articles of incorporation)
  • If the space used as the registered office is part of a residential property, the approval of the homeowners' association will be required for changing the purpose of the space.

Step 4: Payment of applicable fees

Registering a company involves the payment of certain legal fees. The most important fee is for the publication of the registrar's decision in the Official Gazette of Romania, Part IV.

The payment of fees can be made electronically through the platform using a credit card. The ONRC also offers other payment methods, such as bank transfer or cash at the institution's counters.

  • The registrar's decision approving the company's registration is published in the Electronic Bulletin of the Trade Register (BERC), which can be accessed free of charge on the ONRC website.
  • The extract from the admission decision is published in the Official Gazette of Romania, Part IV.
  • If you encounter difficulties in completing the registration steps, you can rely on the specialized support services provided by ONRC, available through dedicated departments.
  • The entire registration process can be completed remotely, without the need for physical presence at the ONRC counters.
